What should an AI calling vendor agreement cover?
An AI calling vendor agreement should cover pricing and billing, uptime commitments, data ownership and export, security, compliance responsibilities, support response times, termination and refunds of unused balance. Ask for these in writing before paying. The terms matter most on the day something goes wrong or you decide to leave.
The clauses that matter
| Topic | What to look for |
|---|---|
| Pricing | Per-minute rates, number rental, taxes and any minimums in writing |
| Billing | Prepaid or postpaid, invoice format, GST, what happens to unused balance |
| Uptime | A stated service level, and what remedy applies if missed |
| Data ownership | You own call recordings, transcripts and lead data |
| Data export | Formats and timeline for getting your data out |
| Retention and deletion | How long data is kept and how it is deleted |
| Security | Access controls, encryption and incident notice |
| Compliance | Who is responsible for DLT, DND and consent |
| Support | Contact route and response times |
| Termination | Notice period, no hidden lock-in, what happens to your number |
Compliance is shared, not outsourced
Indian calling rules apply to the business making the calls. A vendor can supply DLT-registered lines and DND screening, but you remain responsible for having a lawful basis to call. A good agreement states each side's role clearly.
Exit terms deserve special attention
- —Can you cancel without penalty at any time?
- —Do you get your recordings and leads in a usable format?
- —Does your dedicated number stay with you or the vendor?
- —Is a prepaid balance refundable, and on what terms?
Practical advice
- 01Read the terms of service and privacy policy, not only the sales page.
- 02Ask for anything unclear to be answered in writing.
- 03Have a lawyer review any custom contract, especially for regulated sectors.
- 04Keep a copy of the pricing as agreed.

Follow-up questions
Do I need a lawyer to review the agreement?
+
For standard self-serve terms, careful reading may be enough. For custom contracts, high volumes or regulated sectors such as lending, insurance or healthcare, a lawyer's review is worthwhile, particularly of data, liability and termination clauses.
